Service Agreement
Effective date — July 11, 2026
This Service Agreement ("Agreement") is entered into between GoBeyond ("Company", "we", "our", or "us") and the client ("Client", "you", or "your") for the provision of web development and related IT services. By requesting or purchasing our services, you agree to the terms of this Agreement.
01Scope of Services
GoBeyond provides professional digital services, including but not limited to:
- Custom website development
- Web application development
- E-commerce development
- UI/UX implementation
- Website maintenance
- Technical support
- API integrations
- Performance optimization
- Software consulting
- Other related IT services
The specific scope, deliverables, pricing, and timeline for each project will be defined in a proposal, quotation, invoice, statement of work, or other written agreement accepted by both parties.
02Project Timeline
Project timelines are estimates based on the information available at the start of the project.
Delivery dates may change due to:
- Client-requested revisions
- Delays in receiving required materials
- Changes to the project scope
- Technical issues beyond our reasonable control
- Force majeure events
03Client Responsibilities
The Client agrees to:
- Provide accurate and complete project requirements.
- Supply all necessary content, images, branding assets, and credentials.
- Respond to requests for feedback and approvals in a timely manner.
- Ensure they have the legal right to use all materials provided to GoBeyond.
Failure to provide required information may result in project delays.
04Fees and Payment
Fees for services will be communicated before work begins.
Unless otherwise agreed in writing:
- Payment terms will be specified in the project proposal or invoice.
- Work may begin after receipt of any required initial payment.
- Late payments may delay project delivery.
- Outstanding balances remain payable according to the agreed payment schedule.
05Changes to the Project
Any request that significantly changes the agreed scope of work may require:
- A revised quotation
- Additional fees
- An updated delivery schedule
No additional work will be performed without the Client's approval.
06Revisions
The number of revisions included in a project will be stated in the project proposal or agreement.
Requests beyond the agreed revision limit may be billed separately.
07Acceptance of Deliverables
The Client is responsible for reviewing delivered work and notifying GoBeyond of any issues within a reasonable period after delivery.
If no concerns are communicated within that period, the deliverables may be considered accepted.
08Intellectual Property
The Client retains ownership of all content and materials they provide.
Upon full payment of all outstanding invoices, ownership of the completed custom work created specifically for the Client will transfer to the Client.
GoBeyond retains ownership of:
- Internal development tools
- Reusable code libraries
- Frameworks
- Templates
- Proprietary processes
- General know-how developed independently of the project
09Confidentiality
Both parties agree to keep confidential information shared during the project private and to use it only for purposes related to the services provided.
Confidential information will not be disclosed to third parties unless required by law or authorized by the other party.
10Third-Party Services
Projects may rely on third-party services such as:
- Hosting providers
- Domain registrars
- Payment processors
- Cloud service providers
- External APIs
- Software platforms
GoBeyond is not responsible for interruptions, policy changes, outages, pricing changes, or limitations imposed by third-party providers.
11Warranty
GoBeyond will perform services with reasonable skill, care, and professionalism.
Except as expressly stated in this Agreement, all services are provided "as is" without additional warranties, whether express or implied.
12Limitation of Liability
To the fullest extent permitted by applicable law, GoBeyond shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business opportunities, revenue, or data.
GoBeyond's total liability under this Agreement shall not exceed the amount paid by the Client for the specific services giving rise to the claim.
13Termination
Either party may terminate this Agreement by providing written notice.
The Client remains responsible for payment for all services performed up to the effective date of termination.
GoBeyond reserves the right to suspend or terminate services in cases of non-payment, abuse, unlawful activity, or material breach of this Agreement.
14Force Majeure
Neither party shall be liable for delays or failure to perform obligations caused by events beyond their reasonable control, including natural disasters, internet outages, government actions, labor disputes, or other unforeseen circumstances.
15Governing Law
This Agreement shall be governed by and interpreted in accordance with the applicable laws of the jurisdiction in which GoBeyond operates, without regard to conflict of law principles.
16Changes to This Agreement
GoBeyond may update this Service Agreement from time to time.
The latest version will be published on our website and will apply to future services unless otherwise agreed in writing.
